Family Office Decision & Advisory.

Direct private investments are underwritten on incomplete information and management optimism. We provide the independent analytical layer that tests both, before capital is committed.

An Independent
Second Opinion.

A family office evaluating direct private investments faces a structural problem: deal flow arrives faster than it can be rigorously assessed, and the party presenting the opportunity is rarely a neutral source of information about it.

Red Lion Advisory provides family office advisory as an analytical partner rather than a manager. We do not raise funds, we do not take custody of assets, and we are not compensated on whether a transaction proceeds. Our role is to test the case.

That work takes the form of deal vetting on specific opportunities, decision vetting on choices already under consideration, return profile analysis that separates structural return from operating return, and ongoing investment decisioning support across a portfolio.

Independent
No fund, no custody, no transaction-contingent compensation, analysis unaffected by whether a deal proceeds.
Operator-Informed
Diligence conducted by people who have run the kinds of businesses being underwritten.
Retained or Per-Deal
Engaged on a single opportunity or as standing analytical capacity across a portfolio.

Testing the Case
Before the Capital.

Family office investment decisions fail more often on unexamined assumptions than on bad luck. Our work is designed to find those assumptions while there is still an option to decline.

01

Deal Vetting

  • Quality of Earnings Review
  • Projection Testing
  • Market & Competitive Analysis
  • Management Assessment
  • Terms Review

Deal vetting is independent diligence on a specific opportunity. We assess the quality and durability of earnings, test the assumptions embedded in management's projections against operating reality, evaluate the competitive position and market structure, and examine the capital structure and terms being offered.

We report what the evidence supports and where it does not. That includes the questions that cannot be answered from the information provided, often the most valuable output, because it defines what must be resolved before proceeding.

02

Decision Vetting

  • Alternatives Analysis
  • Assumption Mapping
  • Downside Stress Testing
  • Follow-On Evaluation
  • Exit Timing

Decision vetting examines a decision rather than a deal. When a family office is weighing whether to follow on, exercise a right, replace management, accept a restructuring, or exit a position, the question is not whether the asset is good but whether this specific action is the right one given available alternatives.

We frame the decision explicitly, identify the assumptions it depends on, quantify the alternatives including the option to do nothing, and stress the reasoning against downside conditions. The value is in surfacing what the decision actually rests on.

03

Return Profile Analysis

  • Return Decomposition
  • Outcome Distribution
  • Downside Protection Modeling
  • Hold Period Sensitivity
  • Dilution Impact

Return profile analysis separates where returns actually come from. A projected multiple may depend on operating improvement, multiple expansion, leverage, structural terms, or simply the passage of time, and these carry very different risk.

We decompose the return into its drivers, model the distribution of outcomes rather than a single case, quantify how liquidation preferences and structural protections change the downside, and assess how sensitive the result is to holding period, exit timing, and follow-on dilution.

04

Investment Decisioning Support

  • Screening Frameworks
  • Diligence Standards
  • Position Sizing
  • Decision Documentation
  • Retained Capacity

Investment decisioning support means building the framework a family office uses to evaluate opportunities consistently: screening criteria, diligence standards, concentration and sizing discipline, and documented decision rationale.

For offices without dedicated investment staff, we function as retained analytical capacity: screening inbound flow, conducting diligence on what advances, and preparing the analysis principals need to decide. The objective is consistency of process, so outcomes can be evaluated against reasoning rather than against results alone.

05

Portfolio Monitoring & Governance

  • Underwriting Variance
  • Liquidity & Covenant Tracking
  • Board Support
  • Early Warning Analysis
  • Intervention Capability

After capital is deployed, we provide ongoing monitoring: performance against underwriting, covenant and liquidity tracking, early identification of deterioration, and analysis supporting follow-on, restructuring, or exit decisions.

For offices holding board or observer seats, we prepare the analytical materials required to participate substantively, and where operating intervention is warranted, we can step into an interim leadership role at the portfolio company.

What a Family Office
Receives.

Analysis structured for principals and investment committees: conclusions first, evidence documented, assumptions visible.

Independent Diligence Report

A findings-led assessment of the opportunity covering earnings quality, market position, management, and the questions that remain unresolved.

01

Underwriting Model

A scenario-based model of the investment showing return outcomes across a distribution of cases, not a single projection.

02

Return Profile Decomposition

Analysis separating operating improvement, multiple expansion, leverage, and structural terms as sources of projected return.

03

Structural Terms Assessment

Evaluation of preferences, protections, governance rights, and dilution mechanics and what each is worth under downside conditions.

04

Decision Memorandum

A concise memo framing the decision, the alternatives, the assumptions it depends on, and where the analysis lands.

05

Monitoring Framework

Ongoing reporting comparing performance to underwriting, with defined triggers for reassessment.

06

How We Engage
with Principals.

A process built around the reality that family office decisions are made by a small group of people with limited time and significant capital at stake.

01

Mandate Definition

We clarify the decision being made, the criteria that matter to this office, and the depth of work the opportunity warrants.

02

Independent Diligence

We conduct the analysis directly with management, source documents, and independent market work rather than relying on materials provided.

03

Analysis & Framing

We build the underwriting model, decompose the return profile, and frame the decision with alternatives and assumptions made explicit.

04

Decision & Monitoring

We present to principals or the investment committee, support negotiation where the decision is to proceed, and monitor against underwriting thereafter.

Private Capital,
Directly Deployed.

Our family office work centers on direct private investment, where diligence burden is highest and independent analytical capacity is scarcest.

01

Single Family Offices

Deploying directly into private companies without a dedicated internal investment team to conduct diligence at institutional depth.

02

Multi-Family Offices

Requiring independent analytical capacity on specific opportunities or supplemental depth during periods of heavy deal flow.

03

Private Investors & Syndicates

Participating in direct deals where the lead investor's diligence is the only diligence, and an independent view is warranted.

04

Operating Families & Holding Companies

Allocating proceeds from a liquidity event into direct holdings and building an investment process from a standing start.

Family Office
Questions.

What principals and investment committees most often ask before engaging us on a direct investment.

No. We do not manage a fund, take custody of assets, or hold discretion over allocation decisions. We are engaged as an independent analytical partner. Decisions remain entirely with the family office and its principals.

No. Our family office work is fee-based on the analysis performed, not contingent on a transaction proceeding. This is deliberate: the value of independent diligence depends on there being no incentive for the conclusion to favor one outcome. We are engaged as readily to recommend declining an opportunity as to support pursuing one.

Deal vetting is independent diligence on a specific investment opportunity: earnings quality, projections, market position, management, and terms. Decision vetting examines a choice rather than an asset: whether to follow on, exit, restructure, or replace management. The first asks whether the investment is sound; the second asks whether this particular action is the right one among available alternatives.

An IRR projection is a single number resting on a chain of assumptions. Return profile analysis decomposes that number into its sources (operating improvement, multiple expansion, leverage, and structural terms) because each carries materially different risk. It also models a distribution of outcomes rather than one case, and quantifies how preferences and protections change the downside. Two investments with identical projected IRRs frequently have very different risk profiles.

Yes. Many family offices engage us on a retained basis as standing analytical capacity: screening inbound opportunities against defined criteria, conducting diligence on those that advance, monitoring existing positions against underwriting, and supporting board or observer participation. This tends to be more effective than per-deal engagement because the analytical framework becomes consistent over time.

Regularly. The most useful output of independent diligence is often a clear statement of what the evidence does not support, or what cannot be determined from the information available. We report findings as we assess them, including when that means recommending against an opportunity the office is already inclined toward.
